1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Buildasoft Ltd ("CareUnity", "we", "our", or "us") governing your access to and use of the CareUnity platform, including all software, services, APIs, mobile applications, and associated documentation (collectively, the "Service").
By creating an account, logging in, or otherwise using any part of the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
If you are using the Service on behalf of a healthcare organisation, clinic, pharmacy, or other entity ("Organisation"), you represent and warrant that you have the authority to bind that Organisation to these Terms, and references to "you" include both you individually and the Organisation.
These Terms incorporate our Privacy Policy, which is also binding. In the event of a conflict, these Terms prevail.
2. Description of Service
CareUnity is a unified healthcare management platform providing the following capabilities (individually and collectively, the "Service"):
- Patient registration, profile management, and patient record access control
- Electronic Health Record (EHR) creation, management, and sharing
- Appointment scheduling, confirmation, reminders, and status management
- Video consultation facilitation via integrated conferencing technology
- Real-time encrypted messaging between patients and care teams
- Pharmacy and point-of-sale (POS) management including inventory, product catalogue, purchase orders, and supplier management
- Insurance billing with co-payment and insurer-portion tracking
- Billing, invoicing, and payment processing via integrated payment gateway
- Mental health screening questionnaires and results management
- Anonymous counseling session facilitation
- AI-assisted health recommendations and personalised health tips
- Community health education forum and content management
- Multi-facility and multi-branch organisational management
- Role-based access control for clinic administrators, doctors, nurses, pharmacists, receptionists, lab technicians, and insurance agents
- Audit logging and compliance reporting
- Blockchain-anchored health record integrity verification (where enabled)
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. We will provide reasonable advance notice of material changes. CareUnity is continuously developed; new features, improvements, and bug fixes are deployed on an ongoing basis.
3. Accounts & Registration
3.1 Eligibility
You must meet all of the following criteria to use the Service:
- Be at least 16 years of age, or have parental/guardian consent if younger
- Have the legal capacity to enter into a binding agreement
- Not be barred from receiving the Service under applicable law
- For clinical roles: hold valid professional credentials in your jurisdiction
3.2 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to keep it updated. Providing false information — particularly regarding professional qualifications or role — is grounds for immediate termination and may have legal consequences in the healthcare context.
3.3 Account Security
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account
- You must notify us immediately at [email protected] if you suspect unauthorised access
- You may not share credentials with other individuals; each user must have their own account
- You must not use another person's account without their explicit permission
- We are not liable for losses resulting from your failure to safeguard your credentials
3.4 Role Assignment
Access to specific features is determined by your assigned role. Role assignments are the responsibility of your Organisation's administrator. If your role is incorrectly assigned, contact your administrator. CareUnity is not responsible for feature access resulting from incorrect role assignments by an Organisation administrator.
4. Healthcare Disclaimer
All clinical decisions, diagnoses, treatment plans, and medical advice are the sole responsibility of the licensed healthcare professionals using the platform. Patients should never disregard professional medical advice or delay seeking it because of information encountered through CareUnity's AI recommendations, health tips, community forum, or any other non-clinical feature.
AI-generated health recommendations and chatbot responses are for informational and educational purposes only. They are generated by automated systems, are not reviewed by clinicians in real time, and must never be substituted for professional medical judgement. You use these features entirely at your own risk.
In a medical emergency, call your local emergency services (e.g., 912 in Rwanda) immediately. Do not rely on the platform for emergency medical guidance.
5. Permitted & Prohibited Uses
5.1 Permitted Uses
Subject to these Terms, you may use CareUnity solely to:
- Manage healthcare operations within your organisation in accordance with your assigned role
- Access and update your own health records and account information
- Communicate with your authorised care team
- Book, manage, and attend appointments
- Process legitimate pharmacy transactions
- Access educational health content for personal use
5.2 Prohibited Uses
You must not use CareUnity for any of the following. Violations may result in immediate account termination and may be reported to applicable regulatory or law enforcement authorities:
- Accessing, modifying, or disclosing PHI or personal data of patients not under your care without authorisation
- Impersonating a licensed healthcare professional when you are not
- Entering false, fabricated, or misleading clinical data, prescriptions, diagnoses, or records
- Using the platform to facilitate insurance fraud, billing fraud, or prescription fraud
- Transmitting malware, viruses, ransomware, or any code designed to disrupt, damage, or gain unauthorised access
- Attempting to circumvent security measures, authentication, or access controls
- Harvesting, scraping, or bulk-exporting data (including PHI) without authorised API access
- Using automated bots, scripts, or crawlers to interact with the Service
- Selling, licensing, or commercially exploiting any feature of the Service without written permission
- Reverse-engineering, decompiling, or attempting to extract source code
- Using the Service in any manner that could harm, disable, overburden, or impair it
- Facilitating the access or use of the Service by excluded individuals (e.g., those barred from healthcare participation by regulatory bodies)
- Storing or transmitting sexually explicit content, hate speech, or any unlawful material
- Using the counseling or mental health features to provide clinical care without appropriate licensure
6. PHI & HIPAA Obligations
Where your Organisation is a "covered entity" or "business associate" under HIPAA, the following obligations apply to both CareUnity and your Organisation:
6.1 Business Associate Agreement
Covered entities using CareUnity for activities involving PHI must execute a Business Associate Agreement (BAA) with Buildasoft Ltd prior to processing PHI through the Service. Contact [email protected] to request a BAA. Use of the Service to process PHI without a signed BAA constitutes a breach of these Terms.
6.2 User Responsibilities
- You are responsible for all access to PHI under your credentials
- You must not access PHI beyond what is necessary for your legitimate clinical or operational role (minimum necessary standard)
- You must report any actual or suspected unauthorised disclosure of PHI to your organisation's privacy officer and to CareUnity at [email protected] immediately upon discovery
- Organisation administrators are responsible for promptly revoking access for departed staff or role changes
- You must not export PHI in bulk outside the platform without appropriate authorisation and safeguards
6.3 Our Obligations
CareUnity will maintain the confidentiality, integrity, and availability of PHI processed through the Service; implement appropriate safeguards as described in our Privacy Policy; report security incidents involving PHI within the timeframes required by applicable law; and assist covered entities in meeting their HIPAA obligations as provided in the BAA.
7. User Content & Data Ownership
7.1 Your Data
You and your Organisation retain full ownership of all data, records, and content you enter into the Service ("User Content"), including patient records, clinical notes, pharmacy records, and communications.
7.2 Licence to CareUnity
By submitting User Content, you grant Buildasoft Ltd a limited, non-exclusive, worldwide, royalty-free licence to store, process, and transmit your User Content solely as necessary to provide and improve the Service, subject to the Privacy Policy. We will never use identifiable PHI for advertising, profiling, or purposes outside service delivery.
7.3 Data Export & Portability
You may export your data at any time via the platform's export functions. Upon account termination, you have 30 days to export your data before it is archived or deleted per our retention schedule. We will provide reasonable assistance with bulk data export to another system upon written request.
7.4 Community Content
Content you post to public areas of the platform (community forum, health education comments) is visible to other users. Do not post PHI in public areas. You are solely responsible for the accuracy and legality of public content you post. We reserve the right to remove content that violates these Terms or applicable law.
8. Intellectual Property
All rights, title, and interest in the CareUnity platform — including software, interfaces, algorithms, trademarks, trade names, logos, documentation, and aggregated or anonymised analytical data derived from usage — are and remain the exclusive property of Buildasoft Ltd and its licensors. Nothing in these Terms transfers any intellectual property rights to you.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely in accordance with these Terms. This licence does not include the right to sublicense, resell, modify, copy, distribute, or create derivative works from any part of the Service.
If you provide feedback, suggestions, or ideas about the Service, you grant us an irrevocable, royalty-free, worldwide licence to use such feedback without any obligation of compensation or attribution.
9. Payment Terms & Billing
9.1 Fees
Access to CareUnity may be subject to subscription or transaction fees as set out in your Organisation's subscription agreement or the current pricing schedule published on the platform. All fees are quoted exclusive of applicable taxes unless stated otherwise.
9.2 Payment Processing
Payments are processed by Stripe. By providing payment details, you authoriseBuildasoft Ltd to charge your nominated payment method for all applicable fees. Payment information is handled directly by Stripe under their own terms and PCI DSS compliance programme; CareUnity does not store card numbers.
9.3 Patient Co-payments & Insurance
For patient-facing billing, co-payment amounts and insurer breakdowns are calculated based on insurance policy data entered into the platform. CareUnity provides billing tools; it does not guarantee that claims will be accepted or paid by insurers. Billing accuracy is the responsibility of the healthcare organisation.
9.4 Refunds
Subscription fees are non-refundable except as required by applicable consumer protection law or as expressly agreed in your subscription agreement. Transaction fees for individual services are subject to the refund policy applicable to that service.
9.5 Late Payment
Outstanding balances unpaid for more than 30 days after the due date may result in temporary suspension of access until payment is received. We will provide at least 7 days' written notice before suspension.
10. Third-Party Services
CareUnity integrates with third-party services to provide certain features. Your use of those integrations is subject to the respective third party's own terms and privacy policies:
- Stripe — payment processing (stripe.com/terms)
- Google — OAuth authentication and optionally AI services (policies.google.com)
- Jitsi / 8×8 — video consultation infrastructure (8x8.com/terms)
- HuggingFace / OpenAI — AI chatbot inference (platform.openai.com/terms)
CareUnity is not responsible for the availability, accuracy, or practices of third-party services. We select integrations carefully and require data processing agreements, but we cannot guarantee their continued availability or compliance. Removal of an integrated service will be communicated with reasonable advance notice.
11. Privacy
Our collection, use, and protection of your personal and health data is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to our privacy practices as described therein.
12. Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. CAREUNITY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, CAREUNITY DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY ERRORS OR DEFECTS WILL BE CORRECTED; OR (D) THE SERVICE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
AI-generated content, health recommendations, chatbot responses, and any automated outputs are provided for informational purposes only and carry no warranty of accuracy, completeness, or fitness for clinical use.
SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAREUNITY, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY, CAREUNITY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO CAREUNITY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO: (A) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.
CAREUNITY IS NOT RESPONSIBLE FOR ADVERSE CLINICAL OUTCOMES, MISDIAGNOSES, OR PATIENT HARM ARISING FROM DECISIONS MADE BY CLINICIANS USING DATA ON THE PLATFORM. CLINICAL RESPONSIBILITY RESTS SOLELY WITH THE LICENSED PROFESSIONALS PROVIDING CARE.
14. Indemnification
You agree to defend, indemnify, and hold harmless Buildasoft Ltd and its directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your use of or inability to use the Service
- Your User Content or data submitted to the Service
- Your violation of these Terms or any applicable law or regulation
- Your infringement of any intellectual property, privacy, or other rights of any third party
- Any clinical decision, diagnosis, treatment, or advice provided through your use of the Service
- Any PHI disclosure resulting from your failure to maintain appropriate access controls
- Your Organisation's failure to comply with applicable healthcare regulations
We reserve the right to assume exclusive control of any matter subject to indemnification, at your expense. You agree to cooperate with our defence of such claims and not to settle any such matter without our prior written consent.
15. Term & Termination
15.1 Term
These Terms commence on the date you first access the Service and remain in effect until terminated by either party in accordance with this section.
15.2 Termination by You
You may terminate your account at any time through the account settings or by contacting [email protected]. Termination does not entitle you to a refund of prepaid fees.
15.3 Termination by CareUnity
We may suspend or terminate your account immediately and without notice if you:
- Violate any provision of these Terms
- Engage in fraudulent, illegal, or harmful conduct
- Fail to pay applicable fees after a 30-day cure period
- Misrepresent your professional credentials or role
- Cause reputational, legal, or financial harm to CareUnity or other users
For less serious violations, we will provide 14 days' written notice and an opportunity to cure before termination.
15.4 Effect of Termination
Upon termination:
- Your right to access the Service immediately ceases
- You have 30 days to export your data
- We will delete or anonymise your personal data per our retention schedule
- Healthcare records will be retained for the legally required minimum period
- All accrued rights and obligations survive termination, including Sections 7, 8, 12, 13, 14, and 16
16. Governing Law & Disputes
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions.
16.2 Dispute Resolution
Before commencing formal proceedings, you agree to contact us at [email protected] and attempt to resolve the dispute in good faith through informal negotiation for a period of at least 30 days.
If informal resolution fails, disputes shall be submitted to binding arbitration administered under the rules of the Kigali International Arbitration Centre (KIAC), conducted in English in Kigali, Rwanda. The arbitral award shall be final and binding on the parties.
Notwithstanding the foregoing, either party may seek urgent interim or injunctive relief from a court of competent jurisdiction to prevent irreparable harm, particularly in cases involving unauthorised access to PHI or intellectual property infringement.
16.3 Class Action Waiver
To the extent permitted by applicable law, you waive any right to bring or participate in a class action, collective, or consolidated arbitration or lawsuit against CareUnity.
17. Changes to These Terms
We may modify these Terms at any time. When we make material changes, we will:
- Update the effective date at the top of this document
- Display a prominent notice on the platform for at least 30 days
- Send an email notification to registered users
Your continued use of the Service after the new effective date constitutes your acceptance of the revised Terms. If you do not agree to revised Terms, you must stop using the Service before the new effective date.
For changes that materially reduce your rights or substantially increase your obligations, we will provide at least 30 days' advance notice and the opportunity to terminate without penalty if you do not agree.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any BAA or subscription agreement, constitute the entire agreement between you and Buildasoft Ltdwith respect to the Service, and supersede all prior agreements, representations, and understandings.
18.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
18.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
18.4 Assignment
You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, provided the successor honours these Terms.
18.5 Force Majeure
Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, war, government actions, pandemic, or internet infrastructure failures, provided they notify the other party promptly and use reasonable efforts to resume performance.
18.6 Notices
Notices to CareUnity must be sent to [email protected]. Notices to you will be sent to the email address registered on your account. Notices are effective upon confirmed delivery.
18.7 Language
These Terms are drafted in English. In the event of a conflict between an English version and a translation, the English version prevails.
